BYLAWS OF NAPIER LODGE NO. 1632
INTERNATIONAL ASSOCIATION OF MACHINISTS AND AEROSPACE WORKERS
Now, Therefore, We, the International Association of Machinists and Aerospace Workers, pledge ourselves to labor unitedly in behalf of the principles herein set forth, to perpetuate our Association on the basis of solidarity and justice, to expound its objects, to labor for the general adoption of its principles, to consistently endeavor to bring about a higher standard of living among the toiling masses.
ARTICLE I
Section 1. This Lodge shall be known by the title and name of Napier Lodge No. 1632, International Association of Machinists and Aerospace Worker, with its office at Napier Field, Alabama.
Section 2. The government of this Lodge shall be by its members in regular meetings and called meetings and by the Executive Board between meetings.
Section 3. The officers of this Lodge shall be the President, Vice President, Recording Secretary, Secretary-Treasurer, Conductor-Sentinel, and three (3) Trustees. These officers shall constitute the Executive board of this Lodge.
Section 4. The regular meeting of this Lodge shall commence at 6:00 p.m., on the first Saturday of each month at the Lodge hall, Napier Field, Alabama, except for the month of December which shall be held on the second Wednesday except when he meeting date falls on a generally recognized holiday, in which a substitute day of meeting shall be set at the preceding meeting.
Section 5. (a) Special meeting shall be called by the President on request of ten percent (10%) or more of the members, or at his discretion, the members to be notified by bulletin or otherwise at least forty-eight (48) hours prior to such meetings.
(b) No business, other than that stated in the call, shall be Transacted at a called meeting, except by unanimous consent.
Section 6. Any member of this Lodge in good standing shall be eligible to be nominated to hold an office or be nominated for the position of Zone Committeeman, in this Local Lodge, provided he or she has been in good standing in the Association for at least twelve (12) months and attended fifty percent (50%) of the regular meetings held during the 12-months period ending the date of the close of nominations.

Section 7. Any member of this Lodge in good standing shall be eligible to be nominated for the positions of negotiation committee, provided he or she has been in good standing in the Association for at least twelve (12) months and attended fifty percent (50%) of the regular meeting held during the 12 month period ending the date of the close of nominations. Nominations may be taken at any regular meeting after the start of the last year of the existing contract in force. A notice for nominations will be posted on the bulletin board at least a week before the regular meeting of the nominations.
Section 8. All nominees must either be present at time of nomination or must have submitted letter to the Lodge indicating acceptance of nomination.
Section 9. Election of the Negotiation Committee shall be by the greatest number of votes cast, and shall be held at the regular meeting in December of election year. Balloting shall take place in the Local Lodge between the hours from 6:00 a.m.until 5:00p.m. The three (3) candidates receiving the most votes will be the Negotiation Committee and the one (1) with the next highest votes, will be an alternate should something happen to one of the three on The Negotiation Committee. The Negotiation Committee shall serve from January to the end of the contract, which they negotiate or until they are replaced by a newly elected Negotiation Committee.
ARTICLE II
Section 1. Election of officers shall be by greatest number of votes cast, and shall be held at the regular meeting in December of each election year. Balloting shall take place in the Local Lodge between the hours from 6:00 a.m. until 5:00 p.m. The elected officers shall hold office from the first meeting in January, and said officers shall continue in office for three (3) years or until their successors shall have been elected and installed.
Section 2. The duties of the officers shall be as prescribed by the IAM Constitution, and as directed by this Lodge.
Section 3. The Zone Committee, as covered by the contract, shall be permanently assigned to the zone that he or she is nominated for on the day of nomination. The candidates for this committee shall be placed on separate ballots from the local lodge officers in accordance with the zone they are to represent. One (1) candidate shall be elected from each zone. The election will be held at the same time as the officer’s election and they shall serve for three (3) years starting January.
The candidate receiving the greatest number of votes shall serve as chairman of the committee.
Section 4. Delegates to District Lodge No. 75 will be elected for three (3) years at the same time and in the same manner as the officers of this Lodge .

In the event any elected delegate to District No. 75 absents himself or herself from two (2) consecutive meetings, without being excused therefore, and if there is no controversy as to the refusal to excuse being proper, such delegate shall be deemed to have resigned this office. The vacancy shall be filled by appointment by the presiding officer on a pro tem basis for that period reasonably required about the nomination and election of a successor.
(a) Should such officer contend the refusal to excuse him for such absence is improper, the presiding officer shall prefer charges against him, charging conduct unbecoming an officer on the basis of his absence without excuse found acceptable to the Lodge, and he shall be tried in accordance with applicable provisions of the IAM Constitution.
Section 5. In the event any officer, shop steward and Zone committee member of this Lodge absents himself or herself from two (2) consecutive, regular meetings of this Lodge without being excused therefore, and if there is no controversy as to the refusal to excuse being proper, such officer, shop steward and Zone Committee member shall be deemed to have resigned his or her office. Section 6. If any Officer, Shop Steward or Zone Committeeman is absent one (1) regular meeting and/or Shop Steward or Zone Committeeman is absent from one (1) Shop Steward Meeting, or any officer is absent from one (1) Executive Board meeting, he or she shall forfeit his or her right to an amount equivalent to a dues stamp paid for by this Lodge for the month he or she is absent from the regular meeting. Excluding absences due to death in member immediate family (spouse. Son, daughter, mother, or father), or member is in hospital, or show proof of being on a 40-hour vacation the week before or the week after the meeting day, or be on union or company business.
Section 7. The Executive Board shall be composed of the officers of this Local Lodge. Their duties shall be to consider matters of business to be brought before this Lodge, to pass on same in the form of recommendations or objections and to present same to the Body for their approval of disapproval at the next regular meeting.
Section 8. The Bylaws Committee shall be composed of three (3) members. It shall be the duty of this committee to study all suggested changes and additions to said bylaws and make recommendations thereupon.

Section 9. An Auditing Committee of three (3) shall be elected by the Local Lodge at the last meeting in March of each year, all of whom shall serve for three (3) years starting in March, 1998. Officers of the Local Lodge will not be eligible to election as members of this committee. The Auditing Committee shall examine the books of the Lodge at the close of June and December of each year.
Section 10. The Local Lodge president shall appoint a Communicator who, in accordance with the official directives, policies, and programs of the Grand Lodge, will use the latest forms of information technology to communicate with the Local Lodge membership about their work and family lives.
Section 11. The Local Lodge president shall appoint an Educator to assist in carrying out the official directives, policies, and programs of the Grand Lodge, and any other education and training programs approved by the Grand Lodge and related to education and training the Local Lodge membership on all issues affecting workers and their families.
Section 12. In the month of October of election year, this Lodge shall have the right to make nominations for Directing Business Representative and Business Representative to District No. 75. If more than one (1) candidate for either position is nominated, a vote will be taken by secret ballot. The polls will open at 2 p.m. and close at the close at 6:00 p. m. the start of the regular meeting in November to determine which candidate receives the nomination.
Section 13. To better expedite the business of this Lodge, the following committees may be formed:
Legislative and Political Committee Education and Organization Committee Entertainment Committee Job Description Committee Strike Committee Bylaws Committee
The members of the above committees shall be elected or appointed by the President, with the approval of the Lodge, and serve for three (3) years.
Section 14. On the first Wednesday in the month of March each year, and more often if vacancies require it, odd workweek shop stewards will be elected, one on each shift (first shift, second shift and third shift) in each plant by the members permanently assigned to that shift. To be eligible to run for odd workweek shop steward you must be permanently assigned to an odd workweek on that shift. Permanently assigned shall constitute having worked in an area ten (10) consecutive days, or have received permanent transfer papers.
4 Any member of this Lodge in good standing may vote as long as you are permanently assigned to that shift, odd workweek or regular workweek. The term of the elected shop steward shall begin on the first of April and end on the 31stof March.
On the first Thursday in the month of March each year, and more often if vacancies require it, regular workweek shop stewards will be elected in each plant and work are a by the members permanently assigned to the area. Any member of this Lodge in good standing on regular workweek assigned to that area and shift may run for shop steward in that area. Permanently assigned shall constitute having worked in an area ten (10) consecutive days, or have received permanent transfer papers. Any member of this Lodge in good standing may vote as long as you are permanently assigned to that area, odd workweek or regular workweek. The term of the elected shop steward shall begin on the first of April and end on the 31st of March.
The President shall post on the notice who will hold the election and that person shall let the members decide on voting by showing of hands of by secret ballot.
Section 15. Any vacancy occurring in the office of President shall be filled by the Vice-President for the unexpired term--any other office which becomes vacated may be filled by temporary appointment of the President for the period not to exceed sixty (60) days, at which time the aforementioned vacancy must be filled by an election as set forth in the IAM Constitution.
ARTICLE III
Section 1. The initiation and reinstatement fees of this Local Lodge shall be as follows:
Initiation Fee - an amount equivalent to monthly dues + $10.00 Reinstatement Fee - $50.00
The monthly dues of this Lodge shall be a uniform rate equal to two (2) times the weighted average hourly earnings of members covered by the collective bargaining agreement under the Local Lodge jurisdiction in accordance with the IAM Constitution, plus $1.10, plus $1.58 (not to be less than $32.00). The dues will increase January by the sum of the increase of the per capita tax of the Grand Lodge. Alabama AFL-CIO, Alabama State Council Machinists, District 75 and Wiregrass Labor Council.
Section 2. If any application is rejected, the fee paid shall be refunded.

Section 3. The funds of this Lodge shall be drawn only by majority vote at a regular meeting upon an order drawn by the Recording Secretary, upon the seal and countersigned by the president, the money in all cases to be drawn by the Secretary-Treasurer.
Section 4. No motion shall be in order to vote more than a total of $500.00 for any purpose except at special called meetings, except to pay ordinary bills and salaries.
Section 5. This Lodge may vote donations to sister lodges of the IAM District 75 for strike purposes only not to exceed $500.00 at any one time. To other sister lodges affiliated with IAM, not to exceed $50.00 at any time and to Unions other than the IAM, not to exceed $25.00 at any one time.
Section 6. Members shall furnish addresses and change of addresses promptly to the Secretary.
ARTICLE IV
Section 1. Delegates elected by this Lodge to attend union functions of the Lodge shall receive expense reimbursement per the current Federal Travel Regulations far lodging and travel.
(a) All Per Diem, Mileage if a private vehicle is used (1 vehicle per three delegates), Lodging at single occupancy rate, Public Transportation will be paid at the coach rate ( you may upgrade at your own expense). Actual wages lost from his or her regular employment not to exceed eight (8) hours per day or forty (40) hours per week at his or her regular rate of pay and the difference in his or her pay they would have received, provided that he or she actually worked hours that would have been overtime hours, had he or she not been delegated, provided such loss is necessary to properly fulfill the duties of the delegation, not to exceed 4 hours pay for overtime in one week.
(b) Round trip transportation at coach rate to the city of the meeting place either by a ticket on transportation or mileage paid per the current Federal Regulations if private automobile is used. If one (1) to three (3) delegates are sent, mileage for one (1) automobile will be paid. If over three (3) delegates, mileage for two (2) cars will be paid.
(c) Per Diem will be paid in accordance with the current Federal Travel Regulations, plus single occupancy room rate, when leaving their home station to attend union business. Per diem will start at the beginning of the quarter that follows the departure time. Upon return to home station, per diem will end at the beginning of the quarter following time of arrival. No Per Diem charges for less than one-fourth (3) day will be paid. The beginning of each quarter shall be as follows: 12:00 noon, 6:00 p.m., 12:00 midnight and 6:00 a.m. The per diem allowance will cover meals and other expenses.

Section 2. In case of the death of a current member or retired officer of this Local Lodge, the President will deliver or designate an officer to deliver a Memorial Bible to the family within one month (30 Days) of death.
Section 3. In case of a member in good standing dies, and whose dues and assessments are not paid to date, this Lodge shall pay such dues and assessments to date, IAM Constitution to be complied with.
Section 4. For the faithful performance of their duties, the Zone Committee, Shop Stewards, Trustees, Vice President and Conductor-Sentinel, Communicator and Educator, shall be given an amount equivalent to a monthly dues stamp in accordance with Article II, Section 6.
Section 5. The President and Vice President shall receive for the faithful performance of their office, the standard federal mileage rate for the use of their automobile for all mileage in connection with the duties of their offices, with the exception that mileage shall not be paid to and from all regular and special lodge meetings.
Section 6. Delegates to District Lodge no. 75 and Wiregrass Labor Council attending District meetings will receive paid mileage at the current government rate per mile to cover automobile expense round trip from his or her place of residency.
ARTICLE V
Section 1. The first-named on a committee shall be Chairman of such committee, until such committee meets, who may then name their own Chairman.
Section 2. All members of committees shall receive time lost for committee services when authorized by the Lodge, and for over one half day lost shall receive a full day, at his or her current rate. Unless necessary to leave Napier Field and vicinity, when Article IV, Section 1, shall apply.
Section 3. A committee shall not be discharged until all debts contracted by it are paid, and until they have been reimbursed for time lost from work .
Section 4. Any committee failing to properly attend to any designated duties assigned it, or the individual member thereof, shall be fined according to the IAM Constitution.
Section 5. Any officer or member committing an offense that will bring the Association into discredit, or who endeavors to create dissension among the members, or who work against the interest of harmony of the Association, shall, upon sufficient evidence, be fined or expelled, according to the IAM Constitution.

Section 6. Any member who shall misrepresent any discussion of the Lodge so as to cause a disturbance or angry feeling among the members, or who reveals the business of the Lodge to any other than a member of the Association shall be fined, suspended, or expelled, according to the IAM Constitution.
Section 7. Any member who shall make use of profane or indecent language or refuses to obey the command of the President when called to order, or uses disrespectful expressions toward the officers or members, shall be subject to a fine or expulsion in accordance with the IAM Constitution.
Section 8. Any application for membership in this Lodge shall be made upon the usual blank form provided for such purpose and when properly filled out and signed shall be accompanied with the required fee, and turned over to the Secretary-Treasure who shall properly receipt for same.
Section 9. Any increase in the amount of initiation and reinstatement fees, Emergency Funds, and Local Lodge dues must be handled on the basis of the procedures specified in the IAM Constitution.
Any other amendments to these bylaws must be handled on the basis of the following procedures:
(a) All proposals must in writing, signed by not less than five (5) members, and referred to a Bylaws Committee appointed by the President.
(b) Must be read as proposed at two (2) consecutive meetings. Immediately following the second reading, the Bylaws Committee shall submit their recommendations.
(c) Reasonable advance notice must be given to the membership of the time, date and place of the second reading, and vote to be taken on the Bylaws Committee recommendations.
(d) Each proposal must be considered and voted upon separately. A majority affirmative vote by those present and voting is needed for adoption.
(e) Triplicate copies of approved proposals, together with the master copy of bylaws shall be referred to the International President for approval and designation of an effective date.
Section 10. No member shall speak more than once on the same subject until all members desiring the floor shall have spoken, nor more than twice without unanimous consent, nor more than five (5) minutes at any one time without consent of a two-thirds (2/3) vote of all members present.

Section 11. Any member, who shall have been a member in good standing of Local Lodge 1632 for at least five (5) years, upon his or her retirement as prescribed by the IAM Constitution, shall have a retirement card applied for by the Financial Secretary of Local Lodge 1632. Fees for such retirement card shall be paid by the Local Lodge.
ARTICLE VI
Section 1. All Officers, employees or other individuals in this Local Lodge who are responsible for, or handle funds of or for the Local Lodge, shall be bonded in accordance with the IAM Constitution and the LAM Policy relating thereto.
Section 2. The Trustees shall serve as the Finance Committee of this Lodge. The Trustee receiving the largest amount of votes shall be Chairman of the Trustees. The Trustees shall inventory the lodge’s property in June and December. Two (2) itemized copies (by location) shall be made, one (1) for the Trustees, the other given to the Vice President of the Lodge. All items purchased by the Lodge or removed from the Lodge shall be checked on or off the Trustees’ inventory sheet.
Section 3. For the faithful performance of his or her duties, the Secretary-- treasurer shall receive 50 cent per member as entered on the Grand Lodge report including drops, reinstatements, transfers, HWC’s and all new members for his or her monthly salary. If he or she fails to get his or her monthly reports filed timely, fails to stamp dues books which are in his or her possession and/or fails to make a monthly financial report at the regular meeting of the local lodge, he or she shall forfeit one half (1/2) his or her salary for that month.
Section 4. For the faithful performance of his or her duties, the Recording Secretary shall receive 5 cent per member when the membership is seven hundred (700) or more. When the membership drops below seven hundred (700), he or she shall receive for the faithful performance of his or her duties an amount equivalent to a monthly dues stamp in accordance with Article II, Section 6.

Section 6. Should any doubt arise respecting the true meaning of these bylaws, It shall be referred to the International President, who shall interpret their true meaning.

Section 7. Nothing in these bylaws shall be construed or applied in a manner that will conflict with the provisions of the IAM Constitution. All matters arising and not specifically covered by these bylaws a shall be governed by the IAM Constitution.
